XONICWAVE Web Design Agreement

This Web Design Agreement ("Agreement") is entered into on , by and between XONICWAVE, located at 3111 Camino Del Rio N #400, San Diego, CA 92108, hereinafter referred to as "Client," and Modern Business Marketing, located at 1317 Edgewater Dr, Orlando, FL 32804, hereinafter referred to as "Designer."

1. Scope of Work Designer agrees to design and develop a Next.JS website for the Client in five (5) phases as outlined below:

Phase 1: Transition to Next.JS Framework

Identify current pages and links to ensure the preservation of the existing structure.
Identify 301 redirects as needed.
Gather company information, images, graphics, and other relevant materials.
Migrate the current WordPress website into the Next.JS framework.
Deliverables: Functional Next.JS website eliminating the need for a dedicated server, reducing hosting costs. If requested, the website can go live immediately after migration to begin saving on server costs. Phase 1 concludes with a client meeting to discuss the current design and the option to go live at this point.

Phase 2: Optimization for Conversions

Add new header sections with contact forms to each page
Create city-targeted landing pages.
Implement ebook offers to trigger automated lead nurturing via email and/or text.
Integrate Customer Relationship Management (CRM) systems.
Optimize content on all pages using SEO best practices, sound keyword strategies, enhanced internal linking, and Google E-E-A-T (Expertise, Experience, Authoritativeness, Trustworthiness) guidelines. This includes adding additional sections, removing ineffective sections, integrating NLP content, and using semantic keyword strategies.
Deliverables: Optimized website with enhanced conversion-focused features and Local SEO improvements such as a structure that makes every page a community resource using our authoritative internal & external linking strategy.

Phase 3: Revisions

Conduct two rounds of revisions with the Client:
- Revision 1: Implement initial changes based on feedback and hold a meeting with the Client to review these changes. At this meeting, requests for Revision 2 are discussed.
- Revision 2: Make final refinements based on Revision 2 feedback. Phase 3 concludes with a meeting to discuss go-live preparation.
Deliverables: Revised website ready for final preparation.
$1,000 payment is due upon completion of this phase.

Phase 4: Preparation for Go-Live

Obtain access to the domain registrar.
Review DNS settings, including email hosting, CRM settings, and other requirements.
Optimize on-page SEO, including internal linking structure.
Integrate schema markup, including voice search schema optimization.
Implement AI-driven SEO optimization best practices.
Deliverables: Website prepared for deployment with enhanced SEO and DNS readiness.

Phase 5: Go-Live

Deploy the website to the live environment.
Conduct Client review and testing.
Make final minor, non-structural changes or corrections.
Install/Verify Google Search Console and ensure website indexing.
Install/Verify Google Analytics.
Install/Verify Bing Webmaster Tools.
Conduct page speed testing and optimization.
Deliverables: Live and fully functional website with DNS entries copied over (inc email settings), analytics, and search engine tools configured.
$1,000 payment is due upon completion of this phase.

2. Payment Terms The total project cost is $4,000. Payments are due as follows:

$2,000 due at project initiation (to commence Phase 1).
$1,000 due upon completion of Phase 3 (Revisions).
$1,000 due upon project deployment (Phase 5).
*OPTIONAL* Next.js Hosting on Our Managed Application Server
- Option 1 $30/mo or $330 per year. Website Edits not included.
- Option 2 $100/mo or $1000 per year. Includes up to (2) Hours of Web Programming per month.
- Option 3 You Provide, in which case we transfer, ensure initial funtionalbility, and provide additional support at $89/hour

All payments must be made within seven (7) days of the invoice date via the electronic payment options on the invoices or by phone.

3. Timeline Designer will provide an estimated timeline for each phase. Client acknowledges that delays in providing feedback or approvals may impact the timeline.

4. Client Responsibilities Client agrees to:

Provide timely feedback and approvals.
Supply content, branding assets, and any required materials in a timely manner.
Provide necessary access to domain registrar and other relevant systems.

5. Revisions Two (2) rounds of revisions are included in the project scope. Additional revisions will be billed at a rate of $89/hour.

6. Ownership Upon final payment, the Client will own the final website design and its associated code. Designer retains the right to showcase the project in their portfolio and promotional materials.

7. Termination Either party may terminate this Agreement with written notice. In the event of termination, the Client will pay for all work completed up to the date of termination.

8. Warranty Designer warrants that the website will function as intended upon delivery. This warranty does not cover issues arising from third-party modifications, hosting issues, or misuse.

9. Confidentiality Both parties agree to keep confidential any proprietary information shared during the project.

10. Governing Law This Agreement shall be governed by the laws of the State of Florida.

11. Entire Agreement This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
