SEARCH ENGINE OPTIMIZATION SERVICES AGREEMENT FOR SEO CONVERSION 1 MONTHLY SEO PACKAGE

THIS AGREEMENT is made between Modern Business Marketing (“the Company”) and (“the Customer”).

Monthly SEO Subscription Plan Price: $999 per month
Setup Fee: $299 one-time

Recitals

The Company specializes in developing Search Engine Optimization (SEO) strategies, including web page and website optimization, directories, articles/blogs, press releases, and on-page and off-page optimization.
The Customer seeks the Company's expertise in developing and implementing SEO strategies, custom programming, keyword optimization, content creation, and distribution as specified in Exhibit A (The SEO Specifications).
The Company agrees to provide these services under the payment terms and conditions outlined in Exhibit B (The Payment Schedule).

Agreement Terms

Development of SEO Strategy and Services:
The Company will devise, manage, and refine custom SEO strategies as detailed in Exhibit A.
SEO Specifications:
The Company will execute SEO tasks defined in each package, focusing on the Customer's specified URL(s).
Delivery Dates and Milestones:
- The Company will diligently work on the SEO services, aiming to meet monthly deliverables and milestones. However, these timelines are estimates and not strict deadlines.
- The Company retains all documents, source code, keyword lists, and assets created for the Customer, with the Customer receiving only the output formats of the work.
- Intellectual property rights for any customer-provided content remain with the Customer.
Agreement Length and Cancellation:
- This agreement operates on a month-to-month basis.
- The Customer may cancel by providing a 30-day written notice via email to help@modernbusinessmarketing.com.
- Any pending payments during the notice period will be prorated.
- Pricing Terms: The Company reserves the right to adjust pricing based on the month-to-month term.
SEO Service Objective:
SEO services intend to potentially enhance the Customer's search engine positioning for targeted keywords.
Keyword Selection and Web Page Edits:
- Initial keywords will sent to the Client via a ranking report. The client may adjust the keywords by emailing any change requests to help@modernbusinessmarketing.com
- The Company will edit some of the Customer's web pages to optimize for search engines, employing proprietary SEO techniques and coding.
SEO Reporting and Maintenance:
- Regularly create custom reports on traffic and positioning.
- Ongoing adjustments to web pages, keywords, and other digital assets throughout the agreement term.
Customer Acknowledgements:
- Understanding of the competitive nature of SEO and no guarantee of specific rankings.
- Acknowledgment of potential delays in search engine and directory submissions and the unpredictable nature of search engine policies.
Compensation:
As specified in Exhibit B, the Customer shall compensate the Company via the agreed methods. Late payments are subject to additional charges.

Confidentiality and Warranty

Both parties agree to maintain the confidentiality of all SEO-related information.
The Company does not guarantee compatibility with all platforms and is not liable for specific results or productivity.

Keyword Selection

The Company and Customer will agree together on which keywords will be used. The Company will choose the keywords. The Customer will receive a copy of the keywords in a Rank Report with all the keywords listed within 30 days of purchase. The Customer can submit changes to help@modernbusinessmarketing.com to request changes at any time the subscription is active. The number of Keywords that will be tracked per this agreement: 33 Base Keywords, 33 Base Keywords + City, 33 Base Keywords + Near Me.

Web Page Edits and Custom Programming

The Company will edit the Customer’s existing Web Pages to include various HTML tags, content, text, or other elements necessary to aid submissions to selected search engines and directories.
The Company may employ proprietary positioning techniques, coding, and other resources as deemed necessary to improve positioning.
The Customer will have the ability to review any client-facing or structural website changes and request changes specific to the work performed by emailing help@modernbusinessmarketing.com at any time the subscription is active.

Compensation

For all services under this Agreement, the Customer shall compensate the Company as outlined in Exhibit B. In the event of non-payment, the Company reserves the right to pursue remedies such as terminating the Agreement, removing Company resources, or taking legal action.

General Provisions

Entire Agreement:
This Agreement contains the full understanding between the parties and supersedes any prior agreements or understandings.
Governing Law:
This Agreement is governed by the laws of Florida, with exclusive jurisdiction in Palm Beach County.
Binding Effect:
This Agreement binds both parties and their successors.
Waiver:
A waiver of any breach does not waive the right to enforce future breaches.
Good Faith:
Both parties agree to act in good faith throughout the performance of this Agreement.

Essential Setup:

Google Search Console – Setup and install for performance tracking.
Google Analytics – Setup and install for detailed insights.
Setup Reporting – Establish comprehensive reporting systems.
SEO Rank Report – Generate initial ranking report.
Google Business Profile Report – Initial assessment of your profile.
Review Monitoring Report – Set up monitoring for customer reviews.
Google Analytics Dashboard – Create a custom dashboard for easy data access.

WordPress Website Optimization (WordPress Websites Only):

SEO Rank Math Plugin – Install and configure for optimal SEO.
Default Image Plugin – Install to standardize image presentation.
Table of Contents Plugin – Install for better content navigation.
Default Image Creation – Design a default image for uniformity.
Default Image Setup – Implement the default image across the site.
SEO Content Writing – Add SEO-optimized content to the homepage & subpages.

Profile Description – Create or optimize your business profile description.
Data Verification – Ensure questionnaire answers match your website and profile.

Bing Local Business Profile Optimization:

Create/Optimize Profile – Establish and enhance your Bing profile.
Content Writing – Add services and detailed descriptions.
Profile Description – Create or optimize your business profile description.
Data Verification – Ensure questionnaire answers match your website and profile.

Citation Directory Listings:

Build 100 Listings – List your business in 100 directories using the same optimized workflow as for Bing Local and Google Business profiles.

On-Page Optimization:

Homepage Optimization – Refine meta tags, ALT tags, title tags, schema markup, and content.
Service Page(s) Optimization – Optimize meta tags, ALT tags, title tags, schema markup, and content for all service pages.

Off-Page Content Optimization:

Create Public Google Sheet Stack – Organize and document backlinks.

Create AI-Optimized Review Response Bot – Automate and enhance SEO responses to customer reviews.

SEO Meetings:

Schedule a Regular SEO Meeting – Set up consistent strategy meetings to review progress and adjust plans accordingly.

Exhibit B - Payment Schedule

1st Payment: $1,298
Subsequent Payments: $999 monthly, automatically charged on the same date as the original purchase each month.
Payments are auto-debited from the credit or debit card on file, and processed securely.

Please be aware of the following terms associated with this authorization:

Authorization: By providing your credit card details and signing this agreement, you authorize Modern Business Marketing to charge your credit card for agreed-upon purchases as outlined in this agreement.
Cancellation of Authorization: You retain the right to cancel this credit card authorization at any point by sending a written cancellation notice via email to help@modernbusinessmarketing.com. This authorization will remain effective until officially canceled.
Data Security and Confidentiality: Your credit card information will be securely stored and maintained for processing transaction payments related to this agreement.
