Service Duration and Policy:

1. - This is a month-to-month agreement.
  - Services under this Agreement will commence on the start date below and continue each month until a cancellation request is received.
  - Cancellation will require a written 30-day notice of cancellation and must be communicated via email to help@modernbusinessmarketing.com
  - The Company reserves the right to cancel the recurring services for non-payment. If services are canceled by the Company, due to non-payment of this agreement, all services will cease until payment is made.
  - The Customer acknowledges that the Company reserves the right to adjust pricing terms on a month-by-month basis with no less than a 30-day notice. Payments are due on the billing day of each month for the duration of the agreement and auto-billed via debit or credit card.

Customer's Representations and Indemnification:

1. - The Customer represents that any provided artwork, graphics, or other intellectual property does not infringe on the intellectual property rights of any person or entity.
  - The Customer agrees to indemnify and hold the Company harmless from any claims arising from the use of Customer-provided materials, including attorney's fees.

No Performance Guarantees and Entire Agreement:

1. - The Company makes no guarantees of performance, results, or quality.
  - The terms in this Agreement constitute the entire understanding between the Company and Customer, superseding all prior representations or negotiations.
  - This Agreement can only be amended by a signed written agreement by both parties.

Governing Law and Dispute Resolution:

- - Any dispute arising out of this Agreement will be governed by the laws of the State of Florida.
  - Venue and jurisdiction for disputes shall be in the Sonoma Superior Court in and for Palm Beach County, FL.
  - The initial process may be served via electronic mail and certified mail.
  - Parties waive their right to a trial by jury for any triable issues.
  - No refunds will be issued by the Company.

Exhibit A: Payment Agreement

Monthly Service Charges: $2000 per month
- Meta Ads (FB & IG)
- Google & YouTube Ads
- SEO 80 Tracked Keywords
One-Time Setup Fee:
- One-Time Setup Fee = $500
Price Breakdown:
- $2000 per month
- $500 One-Time Setup Fee
- $2500 to get started today & $2000 per month every month thereafter
Billing Policy:
- The 1st payment of $2500 via Zelle will be processed before work is performed
- Bi-Monthly payments of $1000 will be due on the 1st and the 15th via Zelle, starting July 1, 2024 and continue indefinitely, until a written 30-day cancellation is received.
