2026 SEO PRO AGREEMENT (12 Month Contract)

THIS AGREEMENT is made between Modern Business Marketing ("the Company") and ("the Customer").

Regular Pricing: $1,999 per month + $499 setup fee
12-Month Commitment Discount Pricing: $1,800 per month + setup fee WAIVED
Your Savings: $199/month + $499 setup = $2,887 total over 12 months

Recitals

The Company specializes in developing Search Engine Optimization (SEO) strategies, including web page and website optimization, directories, articles/blogs, press releases, and on-page and off-page optimization.

The Customer seeks the Company's expertise in developing and implementing SEO strategies, custom programming, keyword optimization, content creation, and distribution.

The Company agrees to provide these services under the payment terms and conditions outlined in Exhibit B (The Payment Schedule).

Agreement Terms

Development of SEO Strategy and Services

The Company will devise, manage, and refine custom SEO strategies to improve the Customer's search engine visibility and rankings.

SEO Services Overview

The Company will perform various SEO optimization tasks on an ongoing basis, including, but not limited to:

On-page SEO optimization
Off-page SEO optimization
Google Business Profile (GBP) optimization
Keyword research and monitoring
Content optimization
Link building activities
Technical SEO improvements
Local SEO enhancements

Services are provided on a managed service basis, not as hourly consulting. The Company does not track or guarantee specific time allocations, as SEO work varies based on campaign needs, competitive landscape, and strategic priorities. Effort and focus are allocated to maximize SEO results for the Customer's business.

The Company will provide monthly email reports summarizing work performed and a ranking report link accessible at any time for the Customer to monitor keyword performance.

Delivery and Work Product

The Company will diligently work on the SEO services, aiming to meet monthly deliverables. However, these timelines are estimates and not strict deadlines.
The Company retains all documents, source code, keyword lists, and proprietary assets created for the Customer, with the Customer receiving only the output formats of the work.
Intellectual property rights for any customer-provided content remain with the Customer.
The Company reserves the right to make SEO updates to the Customer's website at any time to improve SEO results.

Agreement Length and Cancellation

This agreement has an initial term of 12 months from the date of execution.
During the initial 12-month term, the Customer will receive discounted pricing of $1,800 per month.
After the initial 12-month term, this agreement automatically converts to a month-to-month basis at the regular price of $1,999 per month.
The Customer may cancel after the initial 12-month term by providing a 30-day written notice via email to help@modernbusinessmarketing.com.
Any pending payments during the notice period will be due and payable.

Pricing Terms

The discounted pricing of $1,800 per month applies only during the initial 12-month commitment period. After the initial 12-month term, pricing automatically adjusts to the standard rate of $1,999 per month. All monthly recurring contracts are subject to price changes at the Company's discretion. The Company will provide 30 days' notice of any price adjustments.

SEO Service Objective and Disclaimers

Nature of SEO Services

Search Engine Optimization is an ongoing process of improving website visibility through various technical and content-based strategies. The Company does not own, operate, or control any search engines, including Google, Bing, or others.

No Guarantee of Results

The Company makes NO GUARANTEES regarding specific search engine rankings, increased traffic, lead generation, or sales conversions. Search engines continuously update their algorithms and policies without notice, which may positively or negatively impact rankings at any time. The competitive landscape also changes as competitors modify their SEO strategies.

The Company guarantees to perform the SEO optimization work described in this Agreement using industry best practices. The Company does NOT guarantee specific outcomes or search engine responses to that work.

Competition Levels and Package Limitations

SEO competition varies significantly based on keywords, industries, and geographic markets. Highly competitive keywords and industries require substantially more optimization effort, content creation, link building, and ongoing maintenance to achieve and maintain rankings. The SEO Pro package is designed for high competition keywords and markets with aggressive growth goals. This premium package provides the resources and strategic focus necessary to compete effectively in highly competitive industries. The Customer acknowledges that budget and competition levels directly impact SEO effectiveness.

Keyword Selection and Tracking

The number of focus keywords included in this package: 40 Focus Keywords
The monthly subscription fee is based on this keyword allocation. Additional keywords require a package upgrade at the Company's then-current rates.

Initial keywords will be sent to the Client via a ranking report within 30 days of purchase. The Client may adjust the keywords by emailing any change requests to help@modernbusinessmarketing.com at any time the subscription is active.

Web Page Edits and SEO Updates

The Company will edit the Customer's existing web pages to include various HTML tags, content, text, or other elements necessary to aid search engine optimization.
The Company may employ proprietary positioning techniques, coding, and other resources as deemed necessary to improve positioning.
The Customer will have the ability to review any client-facing or structural website changes and request modifications specific to the work performed by emailing help@modernbusinessmarketing.com at any time the subscription is active.

Website Development and Maintenance - Services NOT Included

This SEO Services Agreement does NOT include:

Custom website development or design changes
Website maintenance services
WordPress core updates
WordPress plugin updates
Website backups
Malware, virus, or security breach remediation
General technical support unrelated to SEO

Website Development Services Available

The Company offers website development and maintenance services for an additional fee:

Web Design/Development Hourly Rate: $89 per hour
Monthly Website Maintenance Subscriptions: Available for a separate fee (contact for pricing)

Customer Responsibility for Website Maintenance

The Customer acknowledges and agrees that they are solely responsible for maintaining their website, including but not limited to: performing regular backups, updating WordPress core and plugins, monitoring for security issues, and addressing any malware or virus infections. The Company is not responsible for any website downtime, data loss, security breaches, or functionality issues that result from the Customer's failure to perform regular website maintenance.

Licensed Software and Tools

The Company may install proprietary software, plugins, or tools on the Customer's website that operate under the Company's corporate licenses.
These licensed software tools will remain active only during the term of this active SEO agreement.
Upon cancellation or termination of this agreement, the Company will remove all corporate-licensed software from the Customer's website.
If the Customer wishes to retain access to these tools after cancellation, they may purchase an annual license directly at the Company's then-current rates.

SEO Reporting

The Company will create and deliver monthly reports via email detailing SEO activities and progress.
The Company will provide the Customer with access to an online ranking report to monitor keyword performance at any time.

Customer Acknowledgements

Understanding of the competitive nature of SEO and no guarantee of specific rankings or traffic results.
Acknowledgment of potential delays in search engine and directory submissions and the unpredictable nature of search engine policies and algorithm updates.
Acknowledgment that SEO is an ongoing process and results may vary based on competition, market conditions, and search engine algorithm changes.
Understanding that the SEO Pro package is designed for high competition markets and provides premium-level resources for aggressive SEO campaigns.
Understanding that the discounted pricing of $1,800 per month applies only to the initial 12-month commitment period, after which pricing reverts to the standard rate of $1,999 per month.
Acknowledgment that the $499 setup fee has been waived as part of this 12-month commitment offer.

Compensation

As specified in Exhibit B, the Customer shall compensate the Company via the agreed methods. Late payments are subject to additional charges and may result in suspension of services.

Confidentiality and Warranty

Both parties agree to maintain the confidentiality of all SEO-related information and proprietary techniques.

The Company does not guarantee compatibility with all platforms and is not liable for specific results, productivity, or revenue outcomes.

The Company is not responsible for any website issues, downtime, or losses resulting from the Customer's failure to maintain their website.

General Provisions

Entire Agreement

This Agreement contains the full understanding between the parties and supersedes any prior agreements or understandings.

Governing Law and Disputes

This Agreement is governed by the laws of Florida, with jurisdiction in Orange County. If we disagree, we'll work together in good faith to resolve it. If the Company must take legal action to collect unpaid fees, enforce this Agreement, or defend against claims arising from the Customer's breach, the Customer agrees to pay all of the Company's reasonable attorney fees, collection costs, and court costs. If the Customer prevails in legal action due to the Company's breach, each party will bear their own costs.

Binding Effect

This Agreement binds both parties and their successors.

Waiver

A waiver of any breach does not waive the right to enforce future breaches.

Good Faith

Both parties agree to act in good faith throughout the performance of this Agreement.

Payments 2-12 (Months 2 through 12): $1,800 per month

Discounted monthly rate during initial 12-month commitment
Monthly savings: $199
Combined monthly + setup savings: $2,887 over 12 months

Month 13 and Beyond: $1,999 per month

Automatically converts to standard monthly rate after initial 12-month term
Automatically charged on the same date as the original purchase each month
Payments are auto-debited from the credit or debit card on file
All payments are processed securely
Monthly recurring charges are subject to price changes with 30 days' notice

Payment Authorization

By signing this agreement, the Customer authorizes Modern Business Marketing to automatically charge the Customer's payment method on file for all fees as outlined in Exhibit B.

Recurring Billing Authorization: The Customer acknowledges and agrees that:

Charges will automatically recur every month
The first payment of $1,800 will be charged upon signing
Subsequent payments of $1,800 will be charged monthly on the same date for months 2-12
After the initial 12-month commitment, monthly charges will adjust to $1,999 per month
The Customer is responsible for maintaining valid payment information
The Customer may cancel recurring billing after the initial 12-month commitment period by providing 30 days' written notice to help@modernbusinessmarketing.com

Payment Method Setup: The Customer will separately provide payment information through Modern Business Marketing's secure, PCI-compliant payment portal. No credit card information should be included in this document or sent via email.

Failed Payments: If a payment fails, the Customer will be notified and given 5 business days to provide updated payment information. Services may be suspended for non-payment.

Data Security: All payment information is stored and processed through PCI-compliant third-party payment processors. Modern Business Marketing does not store complete credit card numbers, CVV codes, or full payment credentials.
